Head of Legal and Regulatory

About the role

The Head of Legal and Regulatory will serve as the principal legal advisor for Spiro's operations in the Democratic Republic of Congo. The role provides strategic legal counsel, ensures regulatory compliance, manages legal risks, and supports business expansion initiatives. This senior position is critical for safeguarding the company's interests while enabling sustainable growth in a complex regulatory environment.

Key responsibilities

• Provide strategic legal guidance to the Country Leadership Team on all legal and regulatory matters.
• Advise business units on commercial, operational, employment, corporate, and contractual issues.
• Support structuring of transactions, partnerships, and new market initiatives.
• Ensure compliance with DRC laws, regulations, and industry requirements.
• Lead regulatory engagement with government agencies and licensing authorities.
• Draft, review, negotiate, and manage commercial agreements such as supplier, distribution, lease, service, partnership, and financing documents.
• Oversee corporate governance, company secretarial obligations, board resolutions, and statutory filings.
• Manage litigation, arbitration, and dispute resolution, coordinating external counsel and monitoring legal budgets.
• Advise HR on employment legislation, review contracts, and support investigations.
• Identify, assess, and mitigate legal and regulatory risks for new initiatives and investments.

Required profile

• Bachelor’s degree in law (LLB) and admission as an Advocate/Attorney in a recognized jurisdiction.
• 10+ years of progressive legal experience, with at least 5 years in a senior legal leadership role.
• Proven experience managing legal affairs in the DRC market and working with government entities and regulatory agencies.
• Expertise in commercial law, corporate law, labour law, and compliance.
• Fluent in French (mandatory) and proficient in English (highly desirable).
